Solana-based decentralized exchange Orca and lending platform Loopscale have merged to form Formation, combining their infrastructure in a broader push into asset financing.

Loopscale co-founder Luke Truitt will serve as CEO of the combined team, according to an announcement shared with The Block.

Formation aims to connect Orca’s trading infrastructure with Loopscale’s lending products and investment vaults, giving emerging assets a path from issuance to financing and secondary-market trading.

Formation Targets Financing Beyond Crypto

The combined company plans to expand beyond cryptocurrency trading and lending into capital-intensive sectors such as artificial intelligence, energy, robotics, and defense.

Truitt said new business models are creating financing needs faster than traditional market infrastructure can adapt.

Formation argues that conventional financing can be prohibitively expensive for smaller transactions. It intends to reduce those costs and eventually provide access to regulated U.S. capital markets.

That access remains a stated ambition rather than an announced capability already available through the platform.

Over the next year, Formation plans to introduce tools for asset issuers alongside new investment strategies.

The company said it is already working with Figure, Shinhan Asset Management, Superstate, R3, and Securitize to bring assets to market and support their distribution.

Orca’s Christopher Montagano, who will become Formation’s chief strategy and legal officer, said liquidity alone is insufficient to scale an asset.

The merger seeks to address that broader requirement by bringing financing and investment infrastructure together with trading services.

The announcement confirmed that both existing protocols will remain foundations of the ORCA and xORCA token network. Financial terms of the transaction were not disclosed.

Orca and Loopscale Bring Established Solana Operations

Orca has processed more than $550 billion in trading volume since 2021, according to figures cited in the report.

Loopscale reports more than $150 million in deposits and over $2 billion in facilitated loans.

Those figures reflect the platforms’ different roles: Orca provides exchange infrastructure, while Loopscale focuses on lending and investment products.

Their combination gives Formation an existing operational base as it pursues a wider asset-financing strategy.

The transaction builds on Orca’s recent work in tokenized finance. In August, Orca joined Shinhan Asset Management, the Solana Foundation, and Etherfuse in a proof-of-concept project involving a tokenized Korean won bond fund.

Both companies also have backing from established crypto investors. Orca raised $18 million in 2021 in a round co-led by Polychain Capital, Placeholder, and the now-defunct Three Arrows Capital.

Loopscale raised $4.25 million that year from investors including Solana Labs and Coinbase Ventures.

Formation’s next phase will center on translating its combined trading and lending infrastructure into products for issuers and investors across a broader range of assets.
